These Terms and Conditions take effect on 15 June 2026.
These general terms and conditions (the “Terms and Conditions”) of Naturlabs s.r.o., with its registered office at Chudenická 1058/32, Hostivař, 102 00 Praha 10, Company ID: 24654736, VAT ID: CZ24654736, registered in the Commercial Register kept by the Municipal Court in Prague, Section C, Insert 444856 (the “Seller”), govern, in accordance with Section 1751(1) of Act No. 89/2012 Coll., the Civil Code, as amended (the “Civil Code”), the mutual rights and obligations of the contracting parties arising in connection with or on the basis of a purchase contract (the “Contract”) concluded between the Seller and another natural or legal person (the “Buyer”) through the Seller's online shop. The Seller operates the online shop on the website at naturlabs.cz (the “E-shop”), through the website interface (the “E-shop Web Interface”).
These Terms and Conditions distinguish between two types of Buyers:
- Consumer buyer: any person who, outside the scope of their business activity or independent profession, concludes a contract with the Seller or otherwise deals with the Seller (the “Consumer”);
- Business buyer: a person who independently carries out a gainful activity on their own account and responsibility as a trade or in a similar manner, with the intention of doing so systematically for profit. For the purposes of these Terms and Conditions, anyone who states their Company ID in the order is considered a business (the “Business”).
The Seller hereby informs the Consumer that information on the processing of their personal data is contained in the Privacy Policy on the website naturlabs.cz.
All legal relationships arising in connection with the Contract are governed by the laws of the Czech Republic, in particular the Civil Code. These Terms and Conditions are the basic terms of sale of the Seller's goods and, where they deviate from the non-mandatory legal rules of the Czech Republic, they take precedence over those rules. Provisions deviating from the Terms and Conditions may be agreed in the Contract. The provisions of these Terms and Conditions form an integral part of the Contract. The Contract and the Terms and Conditions are drawn up in the Czech language.
1. Definitions
- Total Price is the sum of the Purchase Price and the Shipping Price;
- Shipping Price is the amount the Buyer pays for delivery of the Goods (including the price of packaging);
- VAT is value added tax under the applicable legislation of the Czech Republic;
- Invoice is a tax document for the Total Price issued in accordance with Act No. 235/2004 Coll., on Value Added Tax, as amended;
- Purchase Price is the amount of money the Buyer will pay for the Goods;
- Order is the Buyer's binding proposal to conclude a Contract with the Seller;
- User Account is an account set up in the E-shop Web Interface on the basis of data provided by the Buyer, which enables the conclusion of Contracts by means of distance communication and the storage of entered data, the history of ordered Goods and concluded Contracts;
- Goods are all movable items in the Seller's range that can be purchased in the E-shop.
2. Conclusion of the contract
2.1. The E-shop Web Interface contains information about the Goods, including the prices of the individual Goods. Prices of the Goods include value added tax (VAT) and all related fees. Prices of the Goods remain valid for as long as they are published in the E-shop Web Interface. This provision does not limit the Seller's ability to conclude a Contract with the Buyer on individually agreed terms.
2.2. The Contract between the Seller and the Buyer is concluded exclusively at a distance through the E-shop; the costs of using means of distance communication are borne by the Buyer.
2.3. The Contract is concluded on the basis of the Buyer's Order created in the E-shop. The Buyer can place an Order through their Customer Account in the E-shop. The Order must always contain in particular the following information:
- information about the ordered Goods: in the E-shop the Buyer selects the Goods they are interested in and marks them with the “Add to cart” button;
- information about the Purchase Price, the Shipping Price, the method of payment of the Total Price and the requested method of delivery of the Goods: this information is entered when creating the Order in the E-shop user environment, and the information on the Purchase Price, the Shipping Price and the Final Price is shown automatically on the basis of the Goods, the delivery method and the payment method selected by the Buyer;
- the Buyer's details (identification, contact and billing) needed to perform the Contract, including delivery of the Goods and billing of the Total Price; in particular first name, surname, delivery address, phone number and email address.
2.4. When purchasing Goods, the Buyer must provide the Seller with complete, true and correct information. Information provided by the Buyer to the Seller is considered true and correct.
2.5. Until the Order is completed, the Buyer can edit and check the information or cancel the Order. Before sending the Order, the Buyer must confirm, by ticking the checkboxes, that they have read and agree to these Terms and Conditions and the Seller's Privacy Policy. If the Buyer does not confirm that they have read the Terms and Conditions or the Privacy Policy, the Order cannot be completed. Pressing the “Order with obligation to pay” button completes the Order and sends it, binding on the Buyer, to the Seller. A sent Order is binding on the Buyer.
2.6. Sending the Order is considered the Buyer's proposal to conclude the Contract. After sending the Order, the Buyer receives an automated email from the Seller confirming that the Seller has received the Buyer's Order (“Order Receipt Confirmation”). The Seller hereby points out to the Buyer that receipt of the automated Order Receipt Confirmation does not mean that the Seller has accepted the Buyer's Order or that a Contract has been concluded between the Buyer and the Seller. All Orders are subject to acceptance by the Seller, and the Seller is not obliged to accept the Buyer's order.
2.7. In exceptional cases the Seller reserves the right not to conclude the contract, in particular (but not exclusively) if:
- the Goods are sold out or are no longer produced or supplied;
- the purchase price stated in the E-shop is clearly disproportionate to the value of the ordered Goods, provided that the disproportionate Purchase Price was stated by the Seller by mistake;
- the maximum quantity of Goods ordered by the Buyer is exceeded, the information on the maximum number of Goods always being stated in the E-shop before the Order is placed.
If any reason arises for which the Seller rejects the Order, the Seller will inform the Buyer in writing without delay and, at its choice, will:
- send an offer to conclude the Contract in a form modified from the Order. In that case the Contract is concluded when the Buyer confirms this modified offer of the Seller in writing (including by email);
- send a notice of rejection of the Order.
In none of the above cases is the Seller obliged to pay the Buyer any damage or expenses that may have arisen. If the Seller rejects an Order that the Buyer has already paid, the Seller must refund to the Buyer all amounts received from the Buyer in connection with the cancelled or rejected Order.
2.8. The purchase contract is concluded between the contracting parties at the moment the Seller sends the Order Acceptance Confirmation (explicit consent to the conclusion of the Contract) to the Buyer's email address. This confirmation is independent of the automatic Order Receipt Confirmation under clause 2.6. The Seller will send the Buyer information on the subsequent dispatch of the Goods in a separate email.
2.9. The Seller may allow Buyers to use discounts when purchasing Goods (for example in the form of a discount code). To receive a discount, the details of the discount must be entered in the designated field in the Order proposal. If the Buyer does not do so, they cannot later claim the discount on the Goods concerned.
2.10. All presentation of Goods in the E-shop is for information only.
2.11. The Seller will archive the concluded contract for 5 years. The Buyer has access to this archived Contract and the Seller will make it available at any time within this period upon request sent to office@naturlabs.cz.
3. Customer account
3.1. After registering in the E-shop Web Interface, the Buyer can access their customer interface. From their customer interface the Buyer can order Goods (the “Customer Account”). Where the E-shop Web Interface allows it, the Buyer can also order Goods without registration directly from the E-shop Web Interface.
3.2. When registering in the E-shop and when ordering Goods, the Buyer must provide all information correctly and truthfully. The Buyer must update the information in the Customer Account without delay whenever it changes.
3.3. Access to the Customer Account is secured by a username and password. The Buyer must keep the information needed to access their Customer Account confidential. The Seller is not liable for misuse of the Customer Account by third parties. The Seller considers all acts the Buyer performs through the Customer Account to be acts of the Buyer; any misuse of the access data therefore does not affect the validity of such acts.
3.4. The Seller may cancel the Customer Account, in particular if the Buyer has not used their Customer Account for more than 2 years or if the Buyer breaches their obligations under the Contract (including these Terms and Conditions).
3.5. The Seller informs the Buyer, and the Buyer acknowledges, that the E-shop and the Customer Account may not be available continuously, in particular due to necessary maintenance of hardware and software.
4. Price and payment terms, retention of title
4.1. The current Purchase Price is stated for each product in the e-shop. The Total Amount is shown on the website both excluding and including VAT. The price valid at the moment the order is sent is always decisive. The Order proposal also states the Shipping Price or the conditions under which shipping is free.
4.2. The buyer must pay the Total Amount before the goods are dispatched and delivered. Payment can be made online by payment card if this option is available at checkout at the time of the order. In that case card payments are processed securely through Shopify Payments and are subject to the terms of the relevant payment service providers. For online card payments, the Total Amount is due within 24 hours of the seller approving the order. For bank transfers, payment is made when the amount is credited to the seller's account; for other methods, when the transaction is successfully authorised.
4.3. The tax document (Invoice) is issued electronically after payment and is sent to the buyer's email address or made available in the buyer's Customer Account.
4.4. Ownership of the purchased goods passes to the buyer only upon full payment of the Total Amount and physical receipt of the products.
5. Delivery terms and transfer of risk of damage to the goods
5.1. Products are delivered within the Czech Republic by the carrier PPL. The specific shipping prices and conditions are always shown before the purchase is completed.
5.2. The expected delivery date depends on stock availability and is stated in the order confirmation; it is indicative only. If there is an exceptional outage in production or distribution of goods that were not in stock, the seller will inform the buyer and give a new date or cancel the order.
5.3. When receiving the parcel from the courier or at a pick-up point, the buyer must visually check that the packaging is intact. If the parcel shows signs of mechanical damage, unauthorised opening or tampering, the buyer is entitled to refuse it. The buyer must inform the seller of this without delay by email.
5.4. A breach of the buyer's obligation to accept the ordered goods (except for the justified refusal of a damaged parcel under clause 5.3) is not considered a withdrawal from the contract. Such conduct by the buyer is classified as a material breach of the purchase contract. In that case the seller has the right to withdraw from the contract or to attempt redelivery. If, for reasons on the buyer's side, the goods have to be delivered repeatedly or in a manner other than agreed, the buyer must reimburse the seller for the costs of such repeated delivery. The seller will send the payment details for these costs to the buyer's email address, payable within 14 days of delivery of the statement.
5.5. Any withdrawal from the contract takes effect at the moment the Buyer's written notice of withdrawal from the Contract is delivered.
5.6. The risk of accidental destruction, damage or loss of the goods passes to the buyer at the moment the buyer physically receives the goods. If the buyer does not accept the goods although the seller enabled them to do so, this risk passes to the buyer at the moment they first had the opportunity to accept the goods but did not do so through their own fault. From that moment the buyer bears all consequences of the loss, destruction or deterioration of the goods.
5.7. The seller reserves the right not to deliver goods (even if the order has already been confirmed) if the buyer has any unpaid financial or other due obligations towards the seller from previous purchases, until they are fully settled. Such a refusal to deliver is not considered a breach of contract by the seller.
5.8. Detailed instructions for use, ingredients and dosage are stated directly on the packaging of each Product. The Buyer must read this information carefully before starting to use or apply the Product. Before use or application, the Buyer must check that the Product does not contain ingredients to which the Buyer is allergic or intolerant. The Seller is not liable for individual allergic, hypersensitive or other unforeseeable reactions of the Buyer to individual ingredients of the Product.
5.9. The Buyer acknowledges that all information on the E-shop (in particular texts, articles, Product descriptions and recommendations) is purely informative and does not replace professional medical care, diagnosis, prevention or treatment. The food supplements sold are not medicinal products and are not intended as a substitute for a varied and balanced diet. The Buyer must not exceed the recommended daily dose stated on the packaging and must keep food supplements out of the reach of children.
6. Rights arising from defective performance
6.1. The seller is liable to the buyer for the goods being free of defects on receipt (at the moment the risk of damage passes). In particular, the seller guarantees that the product:
- is fit for the purpose agreed by the parties, or for the purpose for which goods of this kind are usually used;
- has the agreed characteristics, description, quantity, quality, functionality and compatibility;
- is supplied with complete accessories and instructions for use, which are normally stated on the packaging.
6.2. In addition to the agreed characteristics, the seller further guarantees that:
- the Goods correspond in quantity, quality and other characteristics, including durability and safety, to the usual characteristics of goods of the same kind that the Buyer can reasonably expect, also with regard to public statements made by the Seller or another person in the same contractual chain, in particular through advertising or labelling;
- the Goods are supplied with accessories, including packaging and instructions for use stated on the product packaging.
6.3. The buyer must unpack the goods without undue delay after delivery and inspect them carefully. The buyer is entitled to claim any defects found (make a complaint) with the seller within the statutory period of two years (24 months) from receipt. To make a complaint, the buyer may use the model form in Annex 1 to these terms and conditions. The complaint must be sent electronically to office@naturlabs.cz and must state the exact specification of the goods and a detailed description of the defect, ideally with a photo or video of the damage. The buyer must send the goods subject to the complaint to the address of the complaints centre: Naturlabs s.r.o., Bohunická cesta 990/31, 664 48 Moravany u Brna.
6.4. The seller will send the buyer a confirmation of receipt of the complaint. The complaint must be settled (including removal of the defect and informing the customer) no later than 30 days after it was made, unless the parties agree in writing on a longer period. If the Seller does not settle the complaint within this 30-day period, this is considered a material breach of the Contract and the Buyer has the right to withdraw from the Contract or to request a reasonable discount. If the complaint is accepted and the buyer withdraws, the seller will refund the purchase price without undue delay after receiving the goods or proof that they were sent.
6.5. For food supplements, cosmetics and foods, the seller is liable for the product retaining its characteristics for the minimum durability period, the date of which (use-by or expiry date) is marked on the packaging. Rights arising from defective performance for this type of goods must be exercised no later than this date. The seller is not liable for defects and damage caused by using the products contrary to the instructions or as a result of improper storage by the buyer (for example exposing cosmetics or food supplements to sunlight, frost or moisture).
6.6. Rights and obligations relating to rights arising from defective performance are governed by these terms and conditions and, to the extent not regulated by them, by generally binding legislation (in particular Sections 2099 to 2117 of the Civil Code).
6.7. In the event of defective performance, the buyer has the right to have the defect removed free of charge. At their choice, they may request delivery of new Goods without defects or repair of the Goods, unless the chosen method of removing the defect is impossible or disproportionately costly compared with the other; this is assessed in particular with regard to the significance of the defect, the value the Goods would have without the defect and whether the defect can be removed by the other method without considerable inconvenience to the Buyer. The Seller may refuse to remove the defect if this is impossible or disproportionately costly, in particular with regard to the significance of the defect and the value the Goods would have without the defect. If the defect cannot be removed, the Buyer has the right to a reasonable discount on the Purchase Price or, if the defect is material, to withdraw from the Contract. Where several items of Goods are purchased, rights arising from defective performance always apply only to the individual defective items.
6.8. The Buyer may request a reasonable discount or withdraw from the Contract if
- the Seller has refused to remove the defect or has not removed it in accordance with the previous paragraph,
- the defect recurs,
- the defect is a material breach of the contract, or
- it is clear from the Seller's statement or from the circumstances that the defect will not be removed within a reasonable time or without considerable inconvenience to the Buyer.
The reasonable discount is determined as the difference between the value of the Goods without the defect and the defective Goods received by the Buyer.
6.9. The Buyer cannot withdraw from the contract if the defect of the goods is entirely insignificant; a defect is presumed not to be insignificant. If the Buyer withdraws from the contract, the Seller will refund the purchase price to the Buyer without undue delay after receiving the goods or after the Buyer proves that the goods were sent.
6.10. The Seller is not liable for defects of the Goods or other damage caused by using the Goods contrary to the instructions for use stated on the packaging of the respective Goods or contrary to clauses 5.8 and 5.9 of these Terms and Conditions.
7. Withdrawal from the contract
7.1. In accordance with Section 1829(1) of the Civil Code, a consumer has the right to withdraw from a distance contract without giving any reason within 14 days of the day of receipt of the goods. The Seller is entitled to withdraw from the Contract in the cases set out in the Contract, these Terms and applicable legislation.
7.2. To withdraw, the buyer may use the form available on the website or in Annex 2 to these terms. The seller will confirm receipt of the form by email without delay.
7.3. The buyer acknowledges that under Section 1837(g) of the Civil Code it is not possible to withdraw from a contract for the supply of goods in sealed packaging that the consumer has removed from the packaging and that cannot be returned for hygiene or health protection reasons. If, for food supplements or cosmetics, the protective closure is opened, the seal or film is removed or the box (the direct packaging of the item) is opened, the right to return the goods within 14 days without giving a reason lapses and such goods can no longer be returned or refunded for safety and hygiene reasons.
7.4. In the event of a valid withdrawal, the buyer must send the goods back no later than 14 days after sending the withdrawal to the address: Authentica Fulfillment s.r.o., Hala Prologis DC1, vchod C, Syrovice 688, 664 67 Syrovice. The buyer bears the direct costs of returning the goods (postage) in full.
7.5. Within 14 days of delivery of the notice of withdrawal, the seller will refund to the buyer all money received, including the cost of delivering the goods to the customer (in the amount corresponding to the cheapest delivery method offered in the e-shop), using the same means of payment as the seller received, unless the buyer agrees to another method. The seller is not obliged to refund the money before physically receiving the goods back or before the buyer credibly proves that the goods were sent.
7.6. The buyer is liable to the seller for any reduction in the value of the goods resulting from handling them beyond what is necessary to establish their nature and characteristics (that is, the way they would examine the goods in a physical shop). The seller is entitled to unilaterally set off the claim for compensation (reduction in value of the goods) against the buyer's claim for a refund of the purchase price.
8. Out-of-court settlement of consumer disputes
8.1. If a dispute arises between the seller and a consumer under the purchase contract that cannot be resolved directly, the consumer has the right to an out-of-court settlement of the dispute.
8.2. The competent body for out-of-court settlement of consumer disputes is the Czech Trade Inspection Authority (ČOI). More information, rules and forms for starting proceedings are available on its official website https://coi.gov.cz/informace-o-adr/.
9. Specific provisions for a Buyer who is a business
9.1. The provisions on withdrawal from the contract without giving a reason within 14 days (Article 7) and the provisions on specific consumer rights arising from defective performance (in particular clauses 6.2, 6.6 and 6.7) do not apply to a Buyer who is a Business. The contractual relationship with a Business is governed exclusively by the general statutory rules of the Civil Code.
9.2. A business buyer has no right to withdraw from a concluded Contract without giving a reason. Any return of goods by a Business is possible only on the basis of a prior written agreement with the Seller and under the conditions set out in it.
9.3. The Seller is not liable to a Business for defects of the Goods that arose after the risk of damage to the goods passed. No quality guarantee (including the shelf life or expiry of food supplements and cosmetics) is provided to a Business unless expressly agreed in writing between the parties.
9.4. A Business must inspect the Goods immediately on receipt. Any obvious defects, damage or differences in quantity must be claimed by the Business in writing with the Seller no later than 3 working days after receipt of the Goods, otherwise its rights arising from defective performance lapse.
9.5. The period for settling a complaint by a business Buyer is 60 days from when it is properly made and the Goods are delivered to the address of the Seller's complaints centre. In the case of a justified complaint by a Business, the Seller has the right to remove the defect primarily by delivering replacement (new) Goods or by providing a reasonable discount on the Purchase Price; a Business has no right to withdraw from the Contract unless the defect cannot be removed.
9.6. If a business Buyer is in default with payment of the Total Price or any other payment under these Terms, the Seller is entitled to claim default interest at the statutory rate for each day of default or part of it.
10. Final provisions
10.1. The Seller may unilaterally change or supplement the wording of these Terms. This provision does not affect rights and obligations arising while the previous wording of the Terms was in effect.
10.2. In the event of force majeure or unforeseeable events (natural disaster, pandemic, operational failures and the like), the Seller is not liable for damage caused as a result of or in connection with force majeure.
10.3. The Terms are accompanied by a model complaint form and a model form for withdrawal from the Contract.
10.4. These Terms take effect on 15 June 2026.
